1. Scope
These End User License Agreement and Terms of Use (“Terms”) govern the installation, access and use of software applications, extensions, add-ons, modules, components, documentation and related services provided by iDynamics AG (“iDynamics”, “we”, “us” or “our”).
These Terms apply to iDynamics applications for Microsoft Dynamics 365 Business Central, including but not limited to:
- iDynamics Essentials
- iDynamics Document Viewer
- iDynamics Document Expert
- iDynamics Email Expert
- iDynamics BauShop
- iDynamics BauGps
- iDynamics BauDispoTrans
- iDynamics BauDispoGeraet
- iDynamics BauGeoAdresse
- iDynamics BauhofWorkflow
- Any other applications, modules, components or extensions published or provided by iDynamics AG
These Terms apply regardless of whether the software is obtained through Microsoft AppSource, Microsoft Partner Center, a direct agreement with iDynamics, a partner, a customer project, a test environment, a sandbox environment or any other delivery channel.
By installing, accessing or using an iDynamics application, the customer, organization or end user (“Customer”, “you”) accepts these Terms. If you do not agree to these Terms, you must not install, access or use the software.
2. License Grant
Subject to these Terms, payment of applicable fees and compliance with all contractual obligations, iDynamics grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable right to use the licensed iDynamics application for the Customer’s internal business purposes.
The license is granted only for the agreed scope, users, tenants, environments, companies, modules, countries, localizations and subscription period, as applicable.
Any use beyond the agreed scope requires the prior written consent of iDynamics.
3. License Restrictions
The Customer may not:
- copy, modify, reproduce, distribute, sell, resell, rent, lease, sublicense or otherwise make the software available to third parties;
- decompile, disassemble, reverse engineer or attempt to derive the source code, algorithms, data structures or internal logic of the software, except where mandatory law permits it;
- remove, alter or obscure copyright notices, trademarks, product names, publisher information or proprietary notices;
- circumvent licensing mechanisms, technical limitations, usage restrictions or security measures;
- use the software outside the licensed Microsoft Dynamics 365 Business Central environment, tenant, company, user scope or subscription period;
- use the software to provide commercial hosting, outsourcing, service bureau or managed services to third parties without prior written approval from iDynamics;
- use the software in a way that violates applicable laws, infringes third-party rights or may damage systems, data or services of iDynamics, Microsoft, customers or third parties.
4. Ownership and Intellectual Property
The software, source code, object code, architecture, concepts, documentation, trademarks, product names, user interfaces, workflows, designs, data models, configurations and all related intellectual property rights remain the exclusive property of iDynamics AG or its licensors.
The Customer receives only the usage rights expressly granted under these Terms. No ownership rights are transferred to the Customer.
All rights not expressly granted to the Customer are reserved by iDynamics.
5. Microsoft Dynamics 365 Business Central and Microsoft Services
iDynamics applications are designed for use with Microsoft Dynamics 365 Business Central and related Microsoft services.
The Customer is responsible for obtaining, maintaining and correctly licensing all required Microsoft products and services, including but not limited to Microsoft Dynamics 365 Business Central, Microsoft 365, Azure, Power Platform, AppSource, Entra ID and related services.
Microsoft products and services are governed by Microsoft’s own terms and conditions. iDynamics is not responsible for:
- the availability, performance or security of Microsoft services;
- changes to Microsoft platforms, APIs, licensing models, environments, permissions or technical requirements;
- discontinuation, outages or functional changes of Microsoft products;
- issues caused by Microsoft updates, tenant configuration, environment settings or customer-specific Microsoft policies.
6. iDynamics Essentials and Technical Base Components
Some iDynamics applications depend on iDynamics Essentials or other iDynamics base components.
The Customer acknowledges that certain features may require the installation, activation or licensing of required base applications, dependencies or technical components.
iDynamics may change dependencies, technical base components or architectural requirements where reasonably necessary for security, compatibility, maintainability or product development.
7. Document Viewer, Document Expert and Document Processing
Applications such as iDynamics Document Viewer and iDynamics Document Expert may be used to display, process, extract, classify, analyze, store, link or manage documents, files, metadata, business records, purchase documents, sales documents, accounting documents, emails or other business information.
The Customer remains responsible for verifying all documents, extracted data, classifications, postings, workflows, approvals and business decisions before productive use or further processing.
iDynamics does not guarantee that document recognition, text extraction, classification, metadata detection, document linking, posting suggestions or other automated results are complete, correct or suitable for a specific business, accounting, tax, legal or regulatory purpose.
The Customer is responsible for maintaining appropriate internal controls, review processes, approvals, backups and audit procedures.
8. Email Expert and Email Processing
Applications such as iDynamics Email Expert may support the processing, archiving, linking, display, sending or receiving of emails and related metadata within Microsoft Dynamics 365 Business Central or connected services.
The Customer is responsible for:
- correct configuration of email accounts, connectors and permissions;
- compliance with applicable communication, archiving and data protection obligations;
- verifying recipients, contents, attachments and business context before sending or processing emails;
- ensuring that confidential or personal information is handled appropriately.
iDynamics is not responsible for incorrect email configuration, unauthorized access caused by customer-side permission settings, delivery failures of third-party mail services or content sent by users.
9. Bau Applications and Industry-Specific Processes
iDynamics Bau applications may support construction-related business processes such as shop processes, GPS-supported processes, dispatching, resources, transport, equipment, geodata, addresses, workflows or related integrations.
The Customer remains responsible for verifying all operational, logistical, commercial, legal, safety-related and accounting-relevant results before relying on them in productive business operations.
GPS data, geodata, addresses, dispatching information, resource planning data, workflow data or similar information may be incomplete, delayed, inaccurate or dependent on third-party devices, services, connectivity or user input.
iDynamics does not guarantee uninterrupted availability, exact positioning, complete tracking, legally compliant dispatching decisions or error-free operational execution.
10. AI and Automated Processing
Some iDynamics applications may include or integrate automated processing, artificial intelligence, machine learning, text recognition, document analysis, classification, extraction, summarization or decision-support functions.
AI-based and automated results are assistance functions only. They may be incomplete, inaccurate, outdated, inconsistent or unsuitable for a specific purpose.
The Customer remains fully responsible for reviewing and approving AI-based or automated results before using them for accounting, financial, tax, legal, HR, operational, safety-related or other business-critical purposes.
iDynamics does not guarantee the correctness, completeness, reproducibility or legal suitability of AI-generated or automatically generated outputs.
11. Third-Party Services, APIs and Integrations
iDynamics applications may connect to or depend on third-party services, APIs, devices, cloud services, OCR services, AI services, email services, storage services, map services, payment services, industry solutions or other external systems.
The Customer is responsible for obtaining and maintaining all required third-party licenses, accounts, credentials, access rights, subscriptions and contractual permissions.
Third-party services are governed by their own terms and conditions. iDynamics is not responsible for their availability, performance, security, pricing, changes, errors, outages, data processing or discontinuation.
12. Subscription, Fees and Payment
If the software is provided as a subscription, the right to use the software is limited to the active subscription period.
Fees, billing terms, renewal conditions, cancellation rules, modules, included services, usage limits and payment terms are defined in the applicable offer, order, quote, agreement, price list, partner agreement or marketplace listing.
Unless otherwise agreed in writing, subscriptions may renew according to the applicable commercial terms.
iDynamics may suspend, restrict or terminate access to the software if fees are not paid when due or if the Customer exceeds the licensed scope.
13. Test, Trial, Preview and Sandbox Use
If software is provided for test, trial, preview, demo, evaluation or sandbox purposes, it may be used only for non-productive evaluation unless otherwise agreed in writing.
Test, trial, preview and demo versions may be time-limited, functionally limited, unsupported, incomplete or subject to change.
The Customer must not rely on such versions for productive business processes, legally relevant records or business-critical decisions unless expressly approved by iDynamics in writing.
14. Updates, Maintenance and Changes
iDynamics may provide updates, improvements, bug fixes, security fixes or new versions of the software at its discretion or as part of an agreed subscription, maintenance or support service.
The Customer is responsible for testing updates before productive use, especially in environments with customer-specific extensions, integrations, workflows, customizations, localizations or third-party applications.
iDynamics may change, enhance, replace or discontinue individual features where reasonably required due to technical, legal, security, Microsoft platform, compatibility, lifecycle or product strategy reasons.
15. Support
Support services are provided only if agreed separately, included in the applicable subscription, or purchased under a separate support, maintenance or service agreement.
Unless explicitly agreed otherwise, support does not include:
- customer-specific customizations;
- third-party applications or services;
- Microsoft platform issues;
- data corrections or data cleansing;
- training, process consulting or project management;
- on-site services;
- issues caused by incorrect configuration, missing permissions, unsupported modifications or customer-specific code.
16. Customer Responsibilities
The Customer is responsible for:
- selecting software suitable for its business requirements;
- testing the software before productive use;
- maintaining backups and recovery procedures;
- assigning appropriate user permissions and roles;
- protecting access credentials and administrative accounts;
- complying with legal, tax, accounting, employment, privacy, archiving and industry-specific requirements;
- verifying documents, postings, workflows, emails, AI outputs, GPS data, operational data and other automated results;
- maintaining required Microsoft, iDynamics and third-party licenses;
- ensuring that users are trained and authorized;
- documenting and monitoring business-critical processes.
17. Customer Data and Data Protection
The Customer remains responsible for the content, quality, legality, accuracy and processing of its business data.
Depending on the specific application and configuration, iDynamics software may process, display, store, transfer, analyze or link documents, emails, metadata, business records, personal data, financial data, operational data, GPS data or other information within Microsoft Dynamics 365 Business Central or connected services.
Where personal data is processed, the Customer is responsible for ensuring that such processing complies with applicable data protection laws, including the Swiss Federal Act on Data Protection and, where applicable, the EU General Data Protection Regulation.
iDynamics processes personal data only in accordance with applicable law and the relevant contractual agreements.
Further information may be provided in iDynamics’ privacy policy and, where applicable, in a separate data processing agreement.
18. Security
iDynamics takes commercially reasonable measures to develop and maintain secure software.
The Customer is responsible for the secure configuration and operation of its Microsoft Dynamics 365 Business Central environment, Microsoft tenant, user permissions, roles, devices, networks, integrations, APIs, credentials and connected services.
The Customer must promptly inform iDynamics of any known or suspected security issue relating to iDynamics applications.
19. Confidentiality
Both parties shall treat confidential information received from the other party as confidential and shall use it only for the purposes of the contractual relationship.
Confidential information may not be disclosed to third parties unless required by law, necessary for the performance of the agreement, or permitted by written agreement.
20. Warranty Disclaimer
To the maximum extent permitted by applicable law, the software is provided “as is” and “as available”, unless expressly agreed otherwise in writing.
iDynamics does not warrant that the software will be uninterrupted, error-free, free from vulnerabilities, compatible with all customer-specific configurations, or suitable for a particular purpose.
iDynamics does not warrant that the software will meet all customer-specific, industry-specific, legal, regulatory, accounting, tax, security, audit or operational requirements.
Mandatory statutory rights remain unaffected.
21. Limitation of Liability
To the maximum extent permitted by applicable law, iDynamics shall not be liable for indirect damages, consequential damages, loss of profit, loss of revenue, loss of business, loss of data, loss of goodwill, business interruption, reputational damage or claims by third parties.
The total liability of iDynamics arising out of or in connection with the software, services or these Terms shall be limited to the fees paid by the Customer for the affected software during the twelve months preceding the event giving rise to the claim.
The above limitations do not apply in cases of intent, gross negligence, personal injury, or where liability cannot be limited under mandatory law.
22. Indemnification
The Customer shall indemnify and hold iDynamics harmless from claims, damages, costs and expenses arising from:
- unlawful or unauthorized use of the software;
- breach of these Terms;
- violation of third-party rights;
- customer data, documents, emails, business records or content processed using the software;
- customer-specific modifications, integrations, configurations or processes;
- use of software outputs without appropriate verification.
23. Termination
iDynamics may terminate or suspend the license if the Customer materially breaches these Terms, exceeds the licensed scope, fails to pay applicable fees, infringes intellectual property rights, violates applicable law or uses the software in a way that may harm iDynamics, Microsoft, customers or third parties.
Upon termination, the Customer must stop using the software and, where technically applicable, uninstall or disable it.
Provisions relating to ownership, license restrictions, confidentiality, data protection, warranty disclaimer, limitation of liability, indemnification and governing law shall survive termination.
24. Export Control and Compliance
The Customer must comply with all applicable export control, sanctions and trade compliance laws.
The software may not be used, exported, transferred or made available in violation of applicable laws or regulations.
25. Changes to These Terms
iDynamics may update these Terms from time to time.
The current version will be made available on the iDynamics website. Continued use of the software after changes become effective constitutes acceptance of the updated Terms, unless mandatory law requires otherwise.
For existing written agreements, the individually agreed contractual terms prevail in case of conflict.
26. Order of Precedence
If these Terms conflict with a separately signed written agreement between the Customer and iDynamics, the signed written agreement shall prevail.
If these Terms conflict with marketplace listing information, product documentation or marketing materials, these Terms shall prevail unless expressly stated otherwise in a signed written agreement.
27. Governing Law and Jurisdiction
These Terms are governed by Swiss law, excluding its conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods.
The exclusive place of jurisdiction shall be the competent courts at the registered office of iDynamics AG in Switzerland, unless mandatory law provides otherwise.
